VENTURE CAPITAL AND PRIVATE EQUITY
We advise both company management seeking new capital as well as private investors and private equity funds with their fundraising transactions, negotiating shareholders’ agreements and monitoring their investments.
COMPETITION LAW AND ECONOMIC LAW
We represent our clients in merger control proceedings both in France and before the European Commission. When necessary, we coordinate with trusted local partners in other jurisdictions to file the notifications required by a given transaction.

We also represent our clients in competition litigation, acting for applicant companies in direct actions brought before the competition authorities (French Competition Authority or European Commission) or defending companies being sued before these authorities. We assist our clients at all stages of the dispute, from dawn raids to appeals before the competition authorities and the national and European courts. We also represent our clients in alternative dispute resolution procedures (leniency, settlements, cooperation) before these bodies.

We help clients with proactively identifying and managing their antitrust risks, in particular by carrying out due diligence reviews aimed at assessing agreements (vertical or horizontal) and ensuring that they comply with competition laws. We are also frequently called on to design and help roll out and implement compliance programs and provide training to in-house teams on competition law issues.

We assist our clients in competition litigation, intervening either alongside complainant companies in the context of direct referral to competition authorities (Competition Authority or European Commission), or for the defense of companies implicated before these last.
We assist our clients at all stages of litigation, from inspection and seizure operations (dawn raids) to appeals before the competition authorities and national and European courts.
Finally, we assist our clients in monitoring alternative dispute resolution procedures (leniency, transaction, cooperation).

Upstream, we help our clients identify and control their exposure to antitrust risks. In particular, we assist our clients in carrying out audits intended to take stock of agreements (vertical or horizontal) and ensure their compliance with competition rules. We also very frequently set up compliance programs and train internal teams in this area.

CORPORATE
We offer our clients comprehensive business law services covering all the fundamental aspects of
their business activities and company life: mergers & acquisitions, joint-ventures, strategic alliances, external growth transactions, disposals, restructurings. More generally, we counsel our clients on all aspects of their day to day company law issues.
SECURITIES LAW
Be they companies, directors and officers or shareholders of listed companies, we assist our clients in their strategic corporate transactions (IPOs, tender offers, squeeze-outs, and exempt securities offerings) and more generally with compliance issues tied to their regulatory obligations and in their relations and interactions with the French Financial Markets Authority (Autorité des marchés financiers). We also defend our clients in securities litigation and market abuse proceedings before the French Financial Markets Authority’s sanctions committee and appeals bodies.

We assist our clients in defending their interests in the context of stock market disputes and market abuse before the Sanctions Commission of the Autorité des marchés financiers and the courts of appeal.

DISPUTE RESOLUTION
We defend our clients’ interests in multiple domains, including business law (including white collar crime), banking law and insolvency law, both during the pre-litigation phase and before courts, arbitral tribunals and independent administrative authorities.
